To provide company secretarial support and related legal advice to the Singtel Group, including for special projects and joint ventures, and ensure that the Singtel Group’s interests are protected.

Make an Impact by

• Working with internal customers on company secretarial and related legal matters, including advising on Companies Act, Securities and Futures Act, SGX Listing Manual, Code of Corporate Governance and related Practice Guidance, Takeover Code.
• Working with team members across functions in relation to the preparation of the Singtel annual report, corporate governance report and the holding of the AGM.
• Providing company secretarial / legal support for corporate actions such as share issues, scrip dividends and rights issues
• Preparing and overseeing the preparation of company secretarial documents, attending board and general meetings and taking minutes
• Provide company secretarial support for special projects including assisting with the establishment of new subsidiaries in Singapore and other jurisdictions, and the establishment and/or maintenance of employee share schemes, etc.
• Instructing and managing local counsel in different jurisdictions from time to time.
• Working with overseas colleagues and company secretarial agents in relation to overseas subsidiaries.
• Assist in managing / supervising / training a team of 5 corporate secretarial executives.

Skills for Success

• A good Law Degree from recognized university and preferably be admitted to the Singapore bar.
• 3-5 years PQE, with experience in SGX listed company secretarial work
• Sound knowledge of legal advice in general corporate advisory work including company and contract law.
• Familiar with regulatory environment in Singapore including Companies Act, Securities and Futures Act, SGX Listing Manual, Code of Corporate Governance, Takeover Code
• Able to identify issues and propose practical solutions
• Good interpersonal skills and able to interact and work across functions and levels.
• Good communication, writing and negotiation skills.
• Team player able to work independently with good people management skills
