This role will report to the Deputy General Counsel and work closely with business units and internal stakeholders to advance and protect Singtel’s interests.   The Assistant General Counsel – Mergers & Acquisitions will serve as a trusted legal advisor on complex, high-value, and time-sensitive corporate transactions. This role requires deep expertise in M&A, joint ventures, divestments, strategic investments, and corporate restructurings, often spanning multiple jurisdictions.  Experience in leading and advising on private equity transactions would be expected.

The successful candidate will work closely with senior leadership, business units, finance, strategy, and external advisors to enable commercial objectives while managing legal risk. This is a highly visible role demanding strong technical excellence, sound judgment under pressure, and the ability to lead transactions from inception through completion.

Work closely with the Deputy General Counsel to:

• manage end-to-end legal support for complex and time-critical M&A transactions.
• drive transaction execution under tight timelines, balancing legal risk with commercial priorities
• structure transactions carefully to achieve business objectives while ensuring legal compliance and risk mitigation.
• advise senior executives and deal teams on legal, regulatory, governance, anti-trust and risk considerations throughout the transaction lifecycle.
• provide advice on competition law, foreign investment controls and regulatory approvals.
• lead legal due diligence, coordinating internal stakeholders and external counsel across multiple jurisdictions.
• draft, review, and negotiate transaction documents, including term sheets, share and asset purchase agreements, joint venture agreements, shareholder agreements, transitional services agreements, and ancillary documentation.
• ensure transaction documentation is accurate, robust, and aligned with negotiated commercial outcomes.
• engage and be the legal interface with investment banks, external counsel, regulators, and counterparties.
• effectively manage external legal advisors to ensure high-quality advice, cost efficiency, and timely delivery.
• support internal approval processes, including board and committee submissions, ensuring clear articulation of legal risks and recommendations.
• provide post-transaction support on integration, implementation of governance structures, and ongoing contractual obligations; and
• contribute to the continuous improvement of M&A legal processes, templates, and playbooks.

Skills for Success

• A good Law Degree from recognized university and preferably be admitted to the Singapore bar.
• An Advocate and Solicitor of the Supreme Court of Singapore with at least 15-20 years’ post-qualifying experience in a law firm or inhouse, with deep hands-on M&A expertise.
• M&A expertise
• Familiarity with SGX Listing Manual
• Word / PDF / PowerPoint skills
• Excellent communication skills
